POWERGRID Clears Full CTUIL Stake Sale to GRID-INDIA, Advances Strategic Restructuring of India’s Power Sector
The Board of Power Grid Corporation of India Limited has approved the sale and transfer of its entire equity stake in Central Transmission Utility of India Limited, its wholly owned subsidiary, to Grid Controller of India Limited . The decision was taken at the Board meeting held on November 1, 2026 marking an important step towards restructuring India’s institutional framework for power transmission and grid management.
Under the approved transaction, the initial purchase consideration will be ₹73.46 crore. This amount has been calculated after adjusting CTUIL’s net asset value of ₹76.85 crore, assessed as of September 30, 2026 against specified liability deductions of ₹3.39 crore. An additional true-up amount will be determined through valuation adjustments covering the period between the valuation date and the transaction’s closing date.
The transaction is expected to be completed within three months from the signing of the Share Purchase Agreement . POWERGRID will disclose further regulatory details after completion of the transaction, in accordance with applicable SEBI requirements.
Strategic Governance Implications
CTUIL was established in December 2020 and began functioning as the Central Transmission Utility from April 1, 2021 under the Electricity Act, 2003. It performs statutory responsibilities relating to planning, coordination and development of India’s inter-state transmission system. Its functions are particularly important as India expands renewable energy capacity, strengthens interstate electricity connectivity and prepares its grid infrastructure for rising power demand.
The transfer of ownership to another government-owned enterprise represents an institutional restructuring within the power sector. It also reflects the government’s broader focus on organisational alignment, specialised responsibilities and improved coordination across critical electricity infrastructure institutions.
For POWERGRID, the divestment will reshape its subsidiary structure while the transaction’s final financial implications will depend on the closing valuation and adjustments. The move assumes significance as India accelerates its transition towards a more integrated, reliable and future-ready national electricity grid.
